Effective for all organizations hosting content on miriVOD.
1. Agreement
By creating an organization account you ("Organization") enter into this agreement with miriVOD ("Platform"). You confirm that you are authorised to bind the Organization and that you are at least 18 years old.
2. Your content
You retain ownership of the videos, artwork, text and marks you upload or link. You grant the Platform a non-exclusive, worldwide licence to host, display, transmit and promote that content solely to operate your paywalled pages.
3. Content warranties
You warrant that you hold all rights needed to sell access to your content, that it does not infringe any third-party right, and that it contains nothing unlawful, defamatory, harassing, or sexually explicit involving minors. You are responsible for any consents or releases required from people appearing in your recordings.
4. Third-party video hosting
Video files are hosted on YouTube as unlisted videos under your own YouTube account and remain subject to YouTube's terms. The Platform takes reasonable steps to keep the underlying video address out of the browser, but no technical measure is absolute and the Platform does not guarantee that content cannot be copied, recorded or redistributed.
5. Pricing, sales and commission
You set prices for individual videos and series. The Platform processes all sales as merchant of record, deducts the commission percentage shown in your dashboard at the time of each sale, and holds the balance for payout. The commission rate applied to a sale is recorded with that sale and does not change retroactively.
6. Payouts
Net proceeds are paid on the payout schedule shown in your dashboard. The Platform may withhold payouts for amounts subject to refund, chargeback or suspected fraud, and may set off refunded amounts against future payouts.
7. Refunds
Buyers may request a refund. A purchase becomes non-refundable once the buyer has started playback of the purchased video or any video in the purchased series, except where a refund is required by law or granted at the Platform's discretion. You authorise the Platform to decide refund requests and to reverse the corresponding sale, commission and payout entries.
8. Taxes
You are responsible for your own income taxes. The Platform may collect and remit sales, use or value-added taxes where required.
9. Account security
Organization administrators must enable two-factor authentication. You are responsible for all activity under your administrator accounts and must not share credentials.
10. Data and privacy
The Platform records sign-ins, page views, playback events, IP addresses and browser information for security, fraud prevention, refund decisions and reporting. You may view this activity for your own organization and must handle it in accordance with applicable privacy law.
11. Suspension and termination
Either party may terminate on notice. The Platform may suspend or remove content or an organization immediately for breach of this agreement, legal risk, or a rights-holder complaint. On termination, undisputed net proceeds already earned remain payable.
12. Disclaimer and liability
The service is provided "as is". To the maximum extent permitted by law the Platform's total liability arising out of this agreement is limited to the commission it retained from your sales in the three months before the claim. Neither party is liable for indirect or consequential loss.
13. Indemnity
You will indemnify the Platform against claims arising from your content, your pricing or tax handling, or your breach of this agreement.
14. Changes
The Platform may publish a new version of this agreement. Continued use after a new version takes effect constitutes acceptance; each accepted version is recorded against your account with the date, IP address and the exact text you agreed to.
15. General
This agreement is the entire agreement between the parties and is governed by the laws of the State of New York, USA, without regard to conflict-of-law rules.
16. Events outside our control
The Platform is not responsible for any delay, interruption, degradation, loss of availability or failure to perform caused by circumstances beyond its reasonable control. These circumstances include internet or telecommunications outages; power failures; hosting, cloud, server, network, domain-name or payment-provider outages; denial-of-service attacks, malware, unauthorised attacks or other cybersecurity incidents; scheduled or emergency maintenance; failures or changes by YouTube or any other third-party service; removal, restriction, blocking or unavailability of a video or YouTube account; changes to third-party terms, APIs, embedding rules or geographic availability; acts of government; labour disputes; fire, flood, severe weather, natural disaster, epidemic, war, terrorism or civil unrest. The Platform does not guarantee uninterrupted, error-free or continuously available service and is not liable for losses arising from such events to the maximum extent permitted by law. The Platform will use commercially reasonable efforts to restore service it controls, but is not required to provide an alternative video host or other substitute service.
